2. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

“Services” includes all services provided by Joshua's Trumpet Studio as outlined in Section 3.
“User Content” refers to any material contributed by users, including but not limited to music tracks and comments.

3. Website User Responsibilities

Account Security: You are responsible for maintaining the confidentiality of your login credentials and account activities. Notify us immediately if you suspect any unauthorized use of your account.
Prohibited Activities: You agree not to engage in activities that:
- Violate any applicable laws or regulations.
- Infringe on the intellectual property rights of others.
- Attempt to gain unauthorized access to our systems or networks.
- Transmit any viruses, malware, or harmful code.
User Content Guidelines: By contributing any User Content, you agree to adhere to community standards, ensuring that your contributions do not include hate speech, harassment, or illegal material. We reserve the right to remove any content that does not comply.
User Content Liability: You are fully responsible for any User Content you contribute, including ensuring it does not infringe on third-party rights or violate any laws.
Content Contribution License: If you contribute User Content, you grant us a limited, revocable, worldwide license to use, reproduce, modify, and internally distribute that content for a period of 2 years or the duration of any written contract we have with you, whichever is longer. A separate written agreement is needed to allow external or commercial distribution. The User Content you provide remains your intellectual property.

4. Intellectual Property

All content on this Website, including text, graphics, logos, and software, is owned by or licensed to Joshua's Trumpet Studios. This content is protected by copyright, trademark, and other intellectual property laws.

License to Use: Users may access and use the Website for limited, revocable, non-commercial viewing purposes. Any reproduction or distribution of content without express written consent is prohibited.

5. Booking, Payment, and Refund Policy

Studio Reservation: All bookings must be made at least 24 hours in advance.
Payment Terms: Full payment for services is required before services commence unless otherwise agreed in writing. Payments can be made via credit/debit card and PayPal.
Security Deposit: A refundable security deposit is required at the time of booking to cover potential damages. The deposit will be refunded within 5 days after the rental period, subject to deductions for damages.
Cancellation Policy:
- Cancellations made at least 2 days before the scheduled rental will receive a full refund.
- Cancellations made less than 2 days in advance will incur a cancellation fee of 50%.
Refunds: Refunds are typically not provided for services rendered. However, if a session is canceled with at least 24 hours notice, a rescheduling option may be offered, subject to availability.

6. Use of the Studio

Permitted Use: Studio rental is solely for music production, including recording, mixing, and rehearsal activities. Any other use is strictly prohibited.
Prohibited Activities: The following actions are prohibited within the Studio:
- Use of illegal substances or activities.
- Creation of hazardous conditions or violation of building codes.
- Hosting public events, gatherings, or parties without prior consent from the Provider.
Client Responsibility: The Client is solely responsible for their actions and those of any guests or collaborators present in the Studio.

7. Studio Policies

Operating Hours: The Studio is available for rental during posted hours. It may be available for booking outside of these hours with additional fees.
Damage and Liability:
- The Client agrees to be financially responsible for any damage to the Studio, its contents, or any equipment during the rental period, including but not limited to repairs and replacement costs.
- The Provider reserves the right to assess damages after the rental period and deduct costs from the security deposit.
Studio Access: The Client must not tamper with or adjust any equipment unless instructed to do so by the Provider’s staff.
Monitoring and Supervision: The Client must ensure that all individuals present in the Studio are supervised throughout the rental period.

8. Equipment and Facilities

Included Equipment: A detailed list of equipment, instruments, and facilities will be provided prior to the booking.
Condition of Equipment: The Client is responsible for inspecting the equipment upon arrival. Any damages or malfunctions must be reported immediately to the Provider.

9. Health and Safety

Compliance: Clients are required to comply with all health and safety regulations, as well as any specific guidelines provided by the Provider.
Waiver of Liability: The Provider shall not be held liable for any injuries, accidents, or illnesses sustained during the use of the Studio, including those caused by negligent acts of staff or equipment malfunction.

10. Limitation of Liability

To the maximum extent permitted by law, Joshua's Trumpet Studio shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Website, Studio, or Services, including but not limited to loss of profits, data, or other intangible losses.

Third-Party Content: We are not responsible for content, products, or services provided by third parties linked from this Website.

11. Indemnification

You agree to indemnify, defend, and hold harmless Joshua's Trumpet Studio, its affiliates, and their respective officers, directors, and employees from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Website, Studio, Services, or violation of these terms.

12. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States. Any dispute arising out of or related to these Terms shall be submitted to binding arbitration in Wyoming, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree, as appointed by the American Arbitration Association. The arbitrator's decision shall be final and binding upon both parties. Before initiating any formal proceedings, you must provide notice and allow Joshua's Trumpet Studio a chance to address your concerns.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on the Website with a revised effective date. Your continued use of the Website after such modifications indicates your acceptance of the new terms.

14. Privacy Policy

We are committed to protecting your privacy. Any personal information collected will be handled according to our Privacy Policy. This policy outlines how we collect, use, and protect your information. We also comply with relevant privacy laws when applicable, including but not limited to CCPA.

15. Governing Law

This Agreement shall be governed by the laws of the State of Wyoming. You agree that any disputes arising out of this Agreement will be resolved in the state of Wyoming, and you waive any objections to the jurisdiction of these courts.

16. Force Majeure

Joshua's Trumpet Studios shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, and natural disasters. This provision does not relieve users from their obligations under this Agreement.

17. Termination

We may terminate your account or restrict your access to our Services at our discretion if you violate these terms. Upon termination, all rights granted to you under this Agreement will cease immediately.

18. Subscriber Communications

You may receive communications from us regarding our Services, promotions, or events. You have the right to opt out of these communications at any time by following the unsubscribe link provided in each email or by contacting us directly.

19. Disclaimer of Warranties

To the fullest extent permitted by law, Joshua's Trumpet Studios disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. We do not guarantee that our Services will meet your requirements or that they will be uninterrupted, secure, or error-free.
